These instaSigner Services Terms and Conditions (“Terms”) govern access to and use of the instaSigner web sites, platform and services (collectively, the “Site”) by site visitors (“Site Visitors”), and by individuals or entities who purchase services (“Service”) or create an account (“Account”) and their Authorized Users (collectively, “Customers”). By using the Site or any instaSigner Services, you as a Site Visitor or Customer accept these Terms (whether on behalf of yourself or a legal entity you represent). An “Authorized User” of a Customer is each an individual natural person, whether an employee, business partner, contractor or agent of a Customer who is registered or permitted by Customer to use the instaSigner Services subject to these Terms and up to any maximum number of users or uses specified at the time of purchase. Violation of any of the terms below may result in the termination of your account and any service agreement you may have entered into with E-Lock.
By accepting terms and condition you authorize E-Lock and its representatives to call, email or SMS you with reference to your registered account. This consent will override any registration for DND/DNC/NDNC.
The Site contains materials that are proprietary and are protected by copyright laws, international treaty provisions, trademarks, service marks, and other intellectual property laws and treaties. The trademarks, logos, domain names and service marks not owned by or on behalf of E-Lock and that are displayed on the Web Site are the registered and unregistered marks of their respective owners. The materials contained in the Web Site may be downloaded or copied for an individual, non commercial use only, provided that copies retain the copyright and any other proprietary notices contained on the materials. Reproduction, modification, distribution, transmission, republication, commercial exploitation or display of the content of these pages, or any other use without the express written permission of E-Lock, is prohibited.
Unless otherwise stated, copyright and all intellectual property rights in all material presented on the site (including but not limited to text, audio, video or graphical images), trademarks and logos appearing on this site are the property of E-Lock, its parent, affiliates and associates and are protected under applicable Indian laws. Any infringement shall be vigorously defended and pursued to the fullest extent permitted by law.

Neither you nor E-Lock will be liable for failure to perform any obligation if such failure is caused by a force majeure events, including but not limited to acts of God, natural disasters, war, civil disturbance, action by governmental entity, labor controversy, strike, the inability to obtain sufficient supply of service, electricity failures any change in or the adoption of any law, regulation, judgment or decree and other causes beyond the party’s reasonable control. The party affected by the force majeure event will provide notice to the other party within a commercially reasonable time and will use commercially reasonable efforts to resume performance as soon as practicable. Obligations not performed due to a force majeure event will be performed as soon as reasonably possible when the force majeure event concludes .E-Lock shall have no liability to you for any interruption or delay in access to the Site irrespective of the cause.
Subject to the Terms, unless otherwise approved by E-Lock or it’s authorized representatives, E-Lock hereby grants only a limited, non-exclusive, non-transferable license to the User to use it’s Services for personal use and/or business purpose if approved by the authorized signatory of the Company the User is representing, and not for resale or distribution. Your rights to use the Services is limited to all terms & conditions set forth in the Terms. E-Lock reserves all rights in and to our Services, including all related intellectual property rights. Except as otherwise explicitly provided in these Terms or as may be expressly permitted by applicable law, or as approved by E-Lock or it’s authorized signatories, you will not permit or authorize any third party to: (i) reproduce, modify, decompile, disassemble, translate, enhance, reverse engineer or create derivative works of any of our Services; (ii) rent, lease or sublicense access to any of our Services; or (iii) circumvent or disable any security or technological features or measures of our Services. If you are signed up for a free usage plan, at the end of free usage period, you will have an option to continue using the Service by upgrading to a paying plan and paying applicable fees.
In case you do not wish to continue, you can export all the data that you have entered into the system. Failure to upgrade from free usage plan to a paying plan will be taken as cancellation / termination of the Service.
An upgrade from the free usage plan to any paying plan will end your free usage period. You will be billed immediately upon upgrading.
The Service is billed in advance on a term basis (quarterly, yearly) and is non-refundable. Except for the case of plan upgrades, there will be no refunds or credits for partial term service, partial term downgrade refunds, or refunds for terms unused with an open account. In order to treat everyone equally, no exceptions will be made.
All fees are exclusive of all taxes, levies or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies or duties.
All of your content and reporting data will be immediately deleted from the Service upon cancellation. This information cannot be recovered once your account is cancelled.
If you cancel the Service before the end of your current paid-up term, your cancellation will take effect immediately and you will not be charged again.
E-Lock, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, or any other E-Lock service, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your account or your access to your account, and the forfeiture and relinquishment of all content and reporting data in your account. E-Lock reserves the right to refuse service to anyone for any reason at any time.
E-Lock reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.
Prices of all solutions and services, including but not limited to plan fees to these solutions and Service, are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the E-Lock store (Link) or the Service itself.
E-Lock shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Service.
Your use of the Service is at your sole risk. The Service is provided on an "as is" and "as available" basis. E-Lock does not warrant that (i) the Service will meet your specific requirements, (ii) the Service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the Service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations, and (v) any errors in the Service will be corrected.
Though the Service is provided on "as-is" basis, it will be our constant endeavour to make it bug free. E-Lock will make all reasonable efforts to fix any bug or errors reported. Also, E-Lock will make all reasonable efforts to ensure that regular backups are done to reduce the possibility of any data loss because of problems beyond our control
You must not modify, adapt, or hack the Service or modify another website so as to falsely imply that it is associated with the Service, E-Lock or any other E-Lock service
You agree not to reproduce, duplicate, copy, sell, resell, lease, reverse-engineer or exploit any portion of the Service. You also agree not to provide access to the Service to any other user, institute or organization. We may, but have no obligation to, remove content and accounts containing content that we determine in our sole discretion are unlawful, offensive, threatening, libellous, defamatory, pornographic, obscene, or otherwise objectionable or violate any party's intellectual property or these Terms of Service.
You must not transmit any worms or viruses or any code of a destructive nature.
You expressly understand and agree that E-Lock shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses (even if E-Lock has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information, or services purchased or obtained or messages received or transactions entered into through or from the Service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the Service; (v) or any other matter relating to the Service.
The failure of E-Lock to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and E-Lock and governs your use of the Service, superseding any prior agreements between you and E-Lock (including but not limited to any prior versions of the Terms of Service).
This Agreement shall be governed by the laws of India. All disputes, claims and actions arising out of this Agreement or its validity will be subject exclusively to the jurisdiction of the competent courts at Pune, Maharashtra, India, irrespective of the place of residence or business of the User, or the place from which the website www.instaSigner.in and/or the Services are accessed or availed. The User specifically agrees that a part of cause of action for any legal action is deemed to have arisen at Pune owing to the Company’s registered office of being situated at Pune.
